Course, Class and Workshop Providers Agreement

1. Listing Conditions

By listing a course, class or workshop on Indy Courses’ site, you agree to assume full responsibility for the content of the listing and class offered, and accept the following listing conditions: The course, class or workshop will be reviewed by Indy Courses administration for compliance with our terms and conditions. If approved by Indy Courses, the course, class or workshop will be posted on the website as soon as practicable, typically within 1 business day.

2. Fees

We charge no fees for free courses, classes or workshops. There are also no monthly charges, enrollment costs, or set up fees. If you wish to list a course, class or workshop for which you charge a fee, we take a small commission. Rates vary based on listing volume and course reviews. Click here for current fee schedule.

The fees charged to Course Providers are based on the number of students who register for a particular Course Providers’ course or courses. You have an opportunity to review and accept the fees that you will be charged based on your particular Fee Schedule, available within your account information. Changes to that schedule are effective after we provide you with at least 24 hours notice by posting the changes on the Indy Courses site. We may choose to temporarily change the fees for our services for promotional events (for example, free listing days) or new services, and such changes are effective when we post the temporary promotional event or new service on the sites. Unless otherwise stated, all fees are quoted in U.S. Dollars. Fees will be debited from your account balance.

3. Payment Methods

Currently there is one type of payment processing option “Indy Courses Payment Processing (ICPP).” For security and convenience we use a trusted third party payment service to maintain all financial information. Indy Courses acts as Instructor’s limited payment collection agent for the purpose of collecting course, class and workshop Registration Fees through ICPP.

Payment processing occurs directly through our Payment Processing Partners. We will instruct them to issue payment within five (5) business days after the successful completion of a course, class and workshop.

4. Cancellations; Nonperformance

No payments shall be made to Instructor with respect to any course, class and workshop that is cancelled or with respect to which Indy Courses believes there is a risk of cancellation or nonperformance, unless Indy Courses receives adequate security (as determined by Indy Courses in its discretion) for Instructor’s obligations under this Instructor Agreement. In addition, no Course, class and workshop Registration Fees for a given course, class and workshop shall be earned until that course, class and workshop is successfully completed. If payments have already been made to an Instructor for a cancelled course, class or workshop, Instructor will immediately refund to Indy Courses all such payments upon cancellation of such course, class or workshop for the purpose of effecting refunds if refunds are being made.

5. Refund Policies

Indy Courses understand that refund policies vary depending on type of course/class and the instructors. Because of that, we require that instructors to post their own policies with respect to their courses, class, or workshop.

Minimum Requirement:

(A) Refund policies must be posted in the description of the course, class, or workshop;

(B) A policy disallowing refunds is permissible, but must be clearly identified as such and must be posted in the course description.

(C) Refund policies (including “no refund” policies) must provide for a refund or other “make good” terms for complete failure to provide the advertised course, class or workshop (e.g., course, class or workshop cancellation);

(D) Refund policies may not be changed after they are posted to the applicable course, class or workshop page;

(E) Refund policies must set out a specific time frame within which refund requests will be responded to, which should not exceed five (5) business days for a first response;

(H) Refund policies must be fair and reasonable.

If a refund policy is not posted or does not meet these minimum requirements set forth above, Indy Courses may (but has no obligation to) modify such refund policy such that it meets these minimum requirements. Such modification may take the form of prospectively making changes to the actual refund policy on the applicable course, class and workshop page or retroactively applying such changes at the time of a dispute, chargeback and/or refund request.

(I) Refund Process.

In order to initiate a refund request, an Attendee should contact Indy Courses directly as set forth in the applicable refund policy. Attendee should use the request refund form or such other information posted on the event page. Instructors agrees to administer its refund policy in accordance with the terms set forth on the applicable course page and the minimum requirements.

5.1. Indy Courses Review

In the event that Instructor fails to honor a refund that an Attendee believes is due under the applicable refund policy and/or the minimum requirements set forth above, that Attendee may request that Indy Courses initiate a refund by contacting us. Indy Courses will review the facts and circumstances and determine whether or not a refund is due in accordance with the applicable refund policy and the minimum requirements set forth above. Indy Courses will endeavor to complete its review within thirty (30) days of being contacted by Attendee.

6. Prohibited Instructor

By registering for the Indy courses and accepting this Course, Class and Workshop Providers’ Agreement, you represent and warrant that:

(A) You are not listed in the MasterCard MATCH terminated Instructor database or Visa terminated Instructor file and your right to access each Card Scheme and each Alternative Form of Payment is not presently revoked or suspended.

If you fall into this category set forth above, as determined by Indy Courses in its discretion, you are a “Prohibited Instructor.”

7. Prohibited Course, Class and Workshops

You may not post course, class and workshops to Indy Courses that:

(A) violate or facilitate the violation of any applicable local, state, provincial, national or other law, rule or regulation;

(B) would be prohibited under the Payment Scheme Rules;

(C) contain any Content (as defined in the Terms of Use) that would violate the Terms of Use, including without limitation of the Terms of Use.

Any course, class and workshop that falls into any of the categories set forth above, as determined by Indy Courses in its discretion, is a “Prohibited Course, class and workshop.”

7.1. Prohibited Transactions

You may not use Indy Courses Payment Processing to process any of the following transactions and you represent and warrant that you will not submit for processing through the Services:

(A) any transaction that would violate the Payment Scheme Rules;

(B) any transaction that is fraudulent or criminal in nature;

(C) any transaction that would constitute a “restricted transaction” as defined in the Unlawful Gambling Enforcement Act of 2006 or Regulation GG; and

(D) any transaction that would constitute sending money to another party other than for the purchase of bona fide tickets or registrations related to course, class and workshops.

Any transaction that falls into any of the categories set forth above, as determined by Indy Courses in its discretion, is a “Prohibited Transaction.”

7.2. Remedies

In the case that Indy Courses discovers that you are a Prohibited Instructor, that you have posted a prohibited course, class and workshop and/or that you have attempted to process or processed a prohibited transaction, then Indy Courses may take any or all of the following actions in its discretion in addition to any and all remedies that Indy Courses may have under the law or elsewhere in the Terms of Service:

(A) suspend or terminate your Indy Courses account;

(B) alter, edit, or remove any prohibited course, class and workshop or any portion thereof;

(C) block, reverse or refund any or all of your transactions;

(D) hold any and all funds associated with your account to the extent required by applicable local, state, provincial, national or other law, rule, regulation, judgment or order; and

(E) refer you, your course, class and workshops and/or your transactions and information relating to the same to our Payment Processing Partners, the Card Schemes, the Alternative Form of Payment Frameworks and/or applicable law enforcement agencies for further action.

8. Representations And Warranties

In addition to the representations and warranties contained herein, you represent and warrant to us that (a) if you represent an entity, that entity is duly organized, validly existing and in good standing under the laws of the state, province or country of its formation; (b) you, or the entity you represent (if applicable), have all requisite power and authority to enter into this Agreement and to carry out the transactions contemplated hereby; (c) the entering into and performing of this Agreement by you, or if you represent an entity by the entity you represent, will not result in any breach of, or constitute default under, any applicable local, state, provincial, national or other law, rule, regulation, judgment or order, or other agreement to which you or it is a party, including without limitation, any other agreement for the sale of tickets or registrations; and (d) if you represent an entity, you have the full right, legal power and actual authority to bind such entity to the terms and conditions hereof.

9. Termination

In addition to our right to terminate your use of the Indy Courses Services under the Terms of Use, Indy Courses may terminate this Course, Class and Workshop Providers Agreement and your right to use the Services to create, promote and collect sales proceeds for a paid course, class and workshop (A) if you are in violation or breach of any provision of this Agreement; or (B) if our Payment Processing Partners and/or the Card Schemes or Alternative Form of Payment Frameworks terminate our right to provide the Indy Courses Payment Processing Service or your right to accept payments via the Indy Courses Payment Processing Service in their sole discretion.

10. Fees and Rewards

At Indy Courses we reward good instructors. The more students like you the lower your fees are.

Our fees have three tiers: Gold, Silver and Bronze. Our fee is a simple percentage of the gross fee you elect to charge for an enrollment.

In addition to Indy Courses fees, you agree to pay a 2.9% + 30¢ payment processing fee.

Tiers Classification

Tiers are based on student reviews and stars assigned to instructors on indycourses.com. Reviews on indycourses.com are accepted only from students registered for the course, class or workshop on indycourses.com. Students must take the entire course to submit a review.

Gold – Instructors have listed at least three courses at Indy Courses and have an average review of 5 stars

Silver – Instructors have listed at least three courses at Indy Courses and have an average of 4 stars

Bronze – Instructors have listed three courses or less or have an average review of less than 4 stars.

All instructors start in the Silver tier. After three months of using the service, instructors are evaluated and can move to Gold or Bronze tier. Instructors are evaluated every three months.
